This promotional campaign (the “Promotion”) is administered by VALR Pty Ltd (“VALR”).
This Promotion may be utilised in conjunction with any other competition or promotion conducted by VALR, unless the terms of such other competition or promotion expressly prohibit or exclude eligibility for this Promotion. Rewards under this Promotion are in addition to, and do not replace or reduce, any referral rewards payable under clause 13 of VALR's Terms of Service.
The Promotion period (the “Promotion Period”) commences on October 20, 2026, at 00:00 am UTC and concludes on October 22, 2026, at 23:59 pm UTC (the “closing date”).
The Promotion is only available to new and existing fully verified VALR users in supported countries in Africa.
Winners will be formally announced within 7 South African business days following the end of the Promotion Period.
Rewards shall be distributed, in whole or in part, to qualifying participants within 7 South African business days following the end of the Promotion Period.
Rewards will be automatically credited to qualifying participants' VALR accounts in USDC. The user alias of reward recipients may be displayed on a designated web page and may also be featured in marketing communications, including newsletters and VALR's official social media pages
Formal registration is not required for participation in this Promotion.
VALR reserves the exclusive right, in its sole and absolute discretion, to determine the rewards and select the reward winner(s).

For the purposes of this Promotion, any reference to USD includes the equivalent value in another supported currency, as determined by VALR at the time the qualifying trade is executed. Trading volume is calculated in USDT equivalent at the market price at the time of each transaction and excludes fees. Both buy and sell transactions executed via Simple Buy & Sell count towards the applicable volume threshold, and the $100 threshold may be met through one or more transactions.
In the event of any conflict or inconsistency between these Rules and any marketing, promotional, social media, in-app, email or other communications relating to the Promotion, these Rules will prevail.
How to Participate
Existing Account Holders in Africa (Referrers):
Access your fully verified (KYC2) VALR account to obtain your unique referral link.
Share the link with friends and ensure they complete full account verification (KYC2) during the Promotion Period to secure initial point allocations.
Invite friends to execute a minimum cumulative trade volume of $100 via Simple Buy & Sell during the Promotion Period to maximize point earnings (increasing from 1 to 3 points per referee).
New Referred Users (Referees):
Register a new VALR account using a valid referral link during the Promotional Period.
Complete full account verification (KYC2) during the Promotion Period.
Execute a trade or multiple trades with a total volume of $100 or greater via Simple Buy & Sell during the Promotion Period to secure eligibility for the dedicated 3,000 USDC pool.
Reward Allocation
The total promotion budget of 10,000 USDC is structured across two primary categories and allocated as set out below:
1. Referrer Reward Pool (7,000 USDC Total Allocation)
Points accumulated during the 72-hour period determine placement. Participants qualify exclusively for distribution from the highest single tier attained for which a reward slot remains available.

Participants who accumulate fewer than 5 points during the Promotion Period do not qualify for a tier and will not receive a referrer reward.
Following the end of the Promotion Period, VALR will determine each qualifying referrer's tier by reference to the total points accumulated during the Promotion Period. Within each tier, qualifying referrers will be ordered by the time recorded on VALR's systems at which the referrer reached the minimum points for that tier, with the earlier referrer ordered first. Each referrer will receive an amount equal to the individual cap for that tier, allocated in that order until the maximum number of referrers for that tier has been reached or the tier's prize pool is exhausted. Once a tier's prize pool is exhausted, no further rewards will be payable from that tier, even where a referrer has met the points threshold for that tier. No part payments will be made where the balance remaining in a tier's prize pool is less than the individual cap for that tier.
Where a referrer qualifies for a tier but no reward slot remains available in that tier, the referrer will be carried down to the next lower tier for which the referrer meets the minimum points and in which a reward slot remains available, and will be ordered in that tier by the time at which the referrer reached that tier's minimum points. A referrer for whom no reward slot remains available in any tier will not receive a referrer reward.
Where two or more referrers reached a tier's minimum points at the same recorded time, VALR may split the applicable reward or apply any other reasonable tie-break method in its sole and absolute discretion.
Any portion of a tier's prize pool that is not allocated will not be redistributed to any other tier or participant.
2. Referee Reward Pool (3,000 USDC Total Allocation)
New referred users who complete full account verification and execute qualifying transactions of $100 or greater via Simple Buy & Sell will receive rewards on a first-come, first-served basis from the 3,000 USDC pool (subject to an individual limit of 5 USDC per eligible referred user until the pool is exhausted). First-come, first-served is determined by the timestamp of the successful Simple Buy & Sell transaction recorded on VALR's systems that takes the referred user's cumulative qualifying volume to $100 or more. Once the 3,000 USDC pool is exhausted, no further referred user rewards will be payable, even where a referred user has met all other requirements.

Any personal information provided to VALR by a Participant for purposes of this Promotion will be treated in accordance with VALR’s Privacy Policy.
The nitty gritty:
1. The Promotion is open to all VALR customers, except VALR's directors, partners, employees, contractors, agents, consultants and their immediate families, any designated market makers as well as any persons resident in VALR's list of prohibited countries.
2. Participation by all participants constitutes acceptance of these Rules, VALR's Terms of Service and Risk Disclosures. By entering the Promotion, you represent and warrant that you meet the eligibility criteria and you agree to accept that VALR may make decisions relating to this Promotion in its sole and absolute discretion and further that any decision made by VALR in terms of these Rules and the Promotion as final and binding including but not limited to any decisions regarding rewards, the reward pool and reward payouts. Any participants found violating this clause will be removed from the Promotion and VALR may freeze or block such participant's VALR account.
3. For the purposes of this Promotion, each day will be considered to run from 00:00 - 23:59 UTC.
4. VALR reserves the right at any time in its sole and absolute discretion to determine and/or amend or vary the Rules and the Promotion without prior notice, including but not limited to cancelling, extending, terminating or suspending the Promotion, the Rules, the rewards, the reward parameters, the reward pool, the eligibility terms and criteria, the selection and/or number of rewards or winners.
5. VALR reserves the right, in its sole and absolute discretion, to disqualify any participants from participating in the Promotion, suspend their accounts, revoke all associated rewards, and/or disqualifying specific trades:
5.1. Where VALR finds the participant to be party to any anticipated, suspected or actual:
Fraud;
Fraudulent registration, including providing false identity verification (KYC) information, using others' KYC details, or registering multiple accounts;
Inappropriate, dishonest or abusive activities, including but not limited to click farming, device farming, or using malicious tools for fraudulent purposes;
Use of fake or fraudulent accounts;
Self-referral, or the referral of persons or entities affiliated or related to the referrer, including entities under common control or with common directors;
Manipulation or violation of these Rules, VALR’s rules, VALR’s policies, campaign terms, conditions or announcements (as updated from time to time); or
Market manipulation, self-dealing, wash trading, laundering trades or illegally bulk registered accounts; or
Breach of local regulatory requirements;
Any other activities with the intent or result of abusing, disrupting, or undermining the legitimate operation of the Promotion, as determined by VALR; or
5.2. For any other reason as determined by VALR in its sole and absolute discretion.
6. If you are selected as a reward winner, you agree and consent to VALR publishing your name, your VALR reference number / tag and/or social media handle on VALR's social media pages, and VALR may make media announcements, publications of names, photographs of any reward winner(s), provided that any reward winner(s) may expressly elect to decline this.
7. VALR will announce on its social media pages when the Promotion has ended. No further rewards will be awarded once VALR has made such an announcement. The participant should visit VALR's social media pages regularly for updates.
8. These Rules will be governed and interpreted in accordance with South African law and any disputes arising from the Promotion will be subject to the exclusive jurisdiction of the courts of South Africa.
9. Rewards are non-transferable, non-exchangeable and may not be sold, bartered, gifted or substituted, except at VALR's sole and absolute discretion. VALR reserves the right to substitute a reward of equal or greater value if necessary.
10. VALR is not responsible for any lost, delayed, misdirected, incomplete, corrupted or malfunctioning entries, payments, transactions, or communications, including those caused by network, system, device, or third-party failures.
11. Before any reward is distributed, VALR may require a potential winner to verify their identity, account status, eligibility, compliance with these Rules and compliance with VALR's Terms of Service, Risk Disclosures, KYC, AML, sanctions and internal risk requirements. If a potential winner fails to satisfy VALR's verification checks, is unreachable, does not respond within a reasonable time, has a restricted, suspended, closed or non-compliant VALR account, or is otherwise found to be ineligible, VALR may disqualify that potential winner and may, where applicable, reallocate, withhold or cancel the relevant reward.
12. Participants are solely responsible for any taxes, duties, charges, levies or other amounts that may become payable as a result of receiving, holding, disposing of or otherwise dealing with any reward. VALR does not provide tax advice and Participants should obtain their own independent tax advice where necessary.

Waiver
The Participant hereby releases, waives and discharges VALR and its affiliates, directors, officers, employees, agents and contractors from any and all liability, costs, expenses, claims, demands, actions or causes of action whatsoever, whether direct, indirect or consequential, for any loss, damage or injury that may be sustained by the Participant, arising out of or relating to the Participant’s participation in the Promotion, the acceptance, use or misuse of any reward, or any activity undertaken in connection with the Promotion, wherever, whenever or however the same may occur, and regardless of whether such loss or damage arises from negligence or otherwise, to the fullest extent permitted by applicable law.
